Terms of Service

Scope of Service & Relationship of Parties

• Platform Role: F&B Guru acts solely as a venue to connect Guru professionals and Restaurant entities. We are not an employer, agency, or representative of either party.
• Independent Contractor Status: Gurus are independent contractors. Nothing in these Terms creates a partnership, joint venture, or employer-employee relationship. Gurus are responsible for their own taxes, insurance, and equipment.

Eligibility & Account Security

• Referral-Only Mandate: Access is restricted to those with a valid, unique referral link.
• Verification: Users must provide accurate, current, and complete information during registration. We reserve the right to suspend accounts that provide false professional credentials or business details.
• Account Sharing: One account is permitted per individual/business. You are responsible for all activity under your credentials.

The Bidding & Project Lifecycle

• Proposals: Gurus use "Connects" to bid. A bid constitutes a firm offer to perform the described services for the stated price.
• The Workroom: Once a bid is accepted, all project communication should remain on the F&B Guru platform to ensure a record exists in case of a dispute.
• Milestones: Large projects should be broken into milestones. Funds for each milestone are held in escrow via Stripe and released upon approval.

Financial Terms & Incentive Logic

• Payments: All payments must be processed through the Platform. Circumventing the platform to avoid fees (Disintermediation) is a material breach and will result in permanent banning.
• Referral Incentives: A $25-worth connect incentive is credited to the Referrer’s connect wallet only after the referred Guru is officially vetted and approved by our team.
• Refunds: Once a Restaurant approves work and funds are released from escrow, payments are final and non-refundable.

Intellectual Property (IP)

• Ownership of Work: Unless otherwise agreed in a specific project contract, once full payment is released, the Guru transfers all IP rights of the deliverables to the Restaurant.
• Portfolio Rights: Gurus retain the right to display work samples in their F&B Guru portfolio for self-promotion unless a Non-Disclosure Agreement (NDA) is signed between the parties.

Dispute Resolution & Limitation of Liability

• Arbitration: Users agree to resolve disputes through the F&B Guru internal dispute resolution process before seeking external legal action.
• Disclaimer: F&B Guru is not liable for the quality of work, project delays, or the conduct of users. Our total liability is limited to the amount of platform fees paid by you in the 6 months prior to the dispute.
